Numbered beta agreement. Section 1 identifies the contracting party in full — a Swiss sole proprietorship, so the owner is personally the counterparty — with address, commercial-register status and VAT status. Section 1a states the planned incorporation of a Swiss AG or GmbH, that this agreement is intended to transfer to it, the notice you get, and your right to terminate and be refunded rather than be transferred.

Then: beta scope, eligibility, auth, workspaces and invites, content license, Agent Smith IP, AI and providers, public links, community, AUP, paid features (CHF-only pricing, VAT position, annual ten-for-twelve billing, prorated upgrades, end-of-period downgrades, credit expiry/rollover/cap/consumption-order rules) and Stripe, integrations, termination and post-termination retention (~30 days), disclaimers, liability cap (3-month fees or CHF 100), consumer rights, term changes, communications, document precedence, survival, waiver, severability, Swiss law and Zürich courts.

Licence terms for the software itself, as distinct from the service: the limited licence we grant, what you may not do (reverse-engineering with the mandatory-law carve-out, resale, breaking security boundaries, runtime abuse, bulk extraction, competing products, training competing models), and the third-party model and open-source components the software depends on.

Also states plainly who owns agent output and the two limits we cannot waive — AI output may not attract copyright in some countries, and similar inputs can produce similar output for other users — plus updates, warranty and liability by reference to the Terms, termination, export controls, and Swiss governing law.

Plain-language explanation of cookies, sessionStorage, localStorage, and similar browser technologies: sign-in, security tokens, preferences, public-site assistant state, and optional third-party scripts when enabled.

Covers EU/EEA/UK consent intent during beta, progressive rollout of a consent manager, no marketing pixels at this stage, and how you can control storage in your browser.

Plain-language disclosure for AI across the marketing site and workspaces: what features may do, that you may be interacting with AI systems, and why human review matters for legal, financial, HR, and other high-impact decisions.

Covers accuracy limits during beta, AI-role and supported asset provenance, OpenRouter plus active model providers, non-free ZDR/no-collection routing, the Nemotron Free exception, direct fallback terms, and how automation vs approval depends on workspace settings.

Clear rules for the website, workspaces, AI, community, public APIs, and integrations: no law-breaking, malware, unauthorized access, harassment, fraud, or platform abuse.

Dedicated sections for AI misuse, your responsibility for content and third-party personal data, security boundaries, enforcement (including suspension and cooperation with authorities), and policy updates during beta.

Plain-language beta disclosure: the product is usable but not final—features may change, stability and availability are not guaranteed, and you should keep backups and avoid sole reliance for critical decisions.

Covers what beta means in practice, data and backups, human review for legal/financial/HR/strategic work, how to report issues to support@agentsmith.ch, and that the program and this notice may evolve.

Short, explicit notice: share URLs are public-by-link—anyone with the link may open them without an account, and links can be forwarded or leaked.

Treat links like sensitive credentials: trust, secrets, default no auto-expiry, revoke when done, and don’t expose regulated or confidential workspace content unless you accept the risk.

Plain-language walkthrough: email sign-in, joining with the invited role, and what profile or contact details workspace members may see after you join.

Also covers limited information shown before you accept, and that joining means agreeing to the Beta Terms of Service and Privacy Policy.

Stripe handles payments; card data stays on Stripe. We charge in CHF only — any local-currency figure is an approximate conversion marked "≈", and your bank sets the final debit and may add a foreign-transaction fee. The section also states our current Swiss VAT position and what changes if we become VAT-liable.

Plans and renewal: annual plans are ten monthly prices for twelve months with Energy released monthly, upgrades are immediate and prorated, downgrades and cancellations take effect at the end of the paid period, and a price rise or reduction in what your plan includes applies only from your next renewal after notice.

Energy: what it is and is not (a prepaid unit of access, not money and not transferable), purchased Energy never expires, up to 50% monthly rollover, a 150% cap on balances you did not pay for, promotional and cashback Energy consumed first, and Energy kept on the downgraded free account after cancellation. Also why consumption varies per run, and that published hour-equivalent figures are planning benchmarks rather than guaranteed work.

Refunds are generally non-refundable with discretionary remedies; EU/EEA withdrawal rights and checkout disclosures where required; short beta billing notice on evolving commercial packaging.

This lists the main third-party services that help run the platform—such as hosting, authentication, payments, email, AI providers, and error monitoring.

It supports transparency and B2B trust. A clean table is enough; it does not need to be heavy.
